
Bylaws of the Hampstead Village Neighborhood Association
Article I: Name and Purpose
Name:
The name of this organization shall be the Hampstead Village Neighboorhood Association ("the Association").Purpose:
The purpose of the Association is to foster a sense of community among residents of Hampstead Village, also known as the Eastside, to promote the general welfare, and address common issues affecting the neighborhood, including safety, beautification, and social events.
Article II: Membership
Eligibility:
Membership is open to any resident, property owner or local business in Hampstead Village.Membership Rights and Duties:
Members are entitled to participate in meetings, vote on Association matters, and receive communications from the Association. Members are expected to support the Association’s goals and attend meetings when possible.Dues:
For now, we will not have dues.
Article III: Meetings
Regular Meetings:
Regular meetings of the Association shall be held at least once every [quarter or month] at a time and place determined by the Board of Directors.Special Meetings:
Special meetings may be called by the President, or by a petition of at least [25%] of the members.Notice of Meetings:
Members must be notified of meetings at least [7] days in advance, either through email, posted notices, or other agreed-upon methods.Quorum:
A quorum for conducting business shall consist of [25%] of the members in good standing.
Article IV: Board of Directors
Composition:
The Board of Directors shall consist of 3 members, including a President, Vice President, and Secretary. The other directors may be designated as needed.Election of Board Members:
Board members shall be elected by a majority vote of the membership at the annual meeting. Elections will be held every two years.Duties of Board Members:
President: Presides at all meetings and represents the Association in external matters.
Vice President: Assists the President and assumes their duties in their absence.
Secretary: Keeps minutes of meetings, maintains records, and handles correspondence.
Treasurer: Manages the financial affairs of the Association, including maintaining accurate records of income and expenses.
Vacancies:
If a board position becomes vacant before the term ends, the Board may appoint a replacement, or a special election may be held.
Article V: Committees
Standing Committees:
The Association may have standing committees as needed (e.g., Safety Committee, Events Committee, Beautification Committee). Each committee will have a chairperson who reports back to the Board.Ad Hoc Committees:
The President may establish ad hoc committees for specific tasks as needed, subject to Board approval.
Article VI: Voting
Voting Rights:
Each member in good standing shall have one vote on matters brought before the Association.Majority Required:
A simple majority of votes is required to approve any motion unless otherwise specified in these bylaws.
Article VII: Finances
Fiscal Year:
The fiscal year of the Association shall begin on [Month, Day] and end on [Month, Day].Bank Accounts:
The Association shall maintain a bank account in the name of the Association. The Treasurer and one other officer shall be authorized to sign checks.Audit:
The financial records of the Association shall be reviewed annually by a committee or an external auditor.
Article VIII: Amendments
Amendments to Bylaws:
These bylaws may be amended by a two-thirds vote of the members present at a regular or special meeting, if notice of the proposed amendment is given to the members at least [7] days prior to the meeting.
Article IX: Dissolution
Dissolution:
In the event of the dissolution of the Association, any remaining assets shall be distributed to a non-profit organization with a similar purpose, as determined by a majority vote of the membership.
